It is often the case that a foreign company wants to operate in the Republic of Serbia and establish/register a company. In this situation, the foreign company will be the founder and the only member¬/shareholder of the company that will be established in Serbia. The advantage is that although the foreign company is the only member/ shareholder of the company that will be established, the company established in Serbia is responsible for all obligations with its assets. We always suggest that a limited liability company be chosen as the legal form of business entity.
In the case when a foreign company is the founder of a company in Serbia, it is necessary to obtain certain documentation which we will prepare for you and send for certification to the competent institutions in your country.
Depending on the country in which the foreign company was registered is a signatory to the Convention of 5 October 1961 Abolishing the Requirement of Legalization for Foreign Public Documents (HCCH 1961 Apostille Convention) or not the procedure for confirming the documentation for company registration in Serbia differs.
